General meetings
According to the Swedish Companies Act, the general meeting is the highest decision-making body in the company, where shareholders exercise their right to vote in central matters such as changes to the articles of association, election of the board and auditor and decisions on disposition of the company’s profit or loss. The Annual General Meeting shall be held within six months of the end of the financial year, and in addition to the Annual General Meeting, extraordinary general meetings may be convened.
Notice of general meeting
In accordance with Industria Försäkringsaktiebolag’s articles of association, notice is made to the general meeting through advertising in Post- och Inrikes Tidningar and through publication on the company’s website. In addition, the notice in Svenska Dagbladet is advertised.
Right to attend the AGM
In order to participate and vote at the general meeting, either in person or via power of attorney, shareholders must be entered in the share register kept by Euroclear Sweden as of six banking days before the general meeting and have notified their participation at the company no later than the date stated in the notice.
Shareholders who have their shares registered by a bank or a securities institution must temporarily register the shares in their own name with Euroclear Sweden in order to participate in the meeting. Shareholders are encouraged to inform their manager of this in good time before the record date.
In order to have a matter dealt with at the general meeting, a shareholder must submit a written request to the company’s board. The request should normally be received by the board no later than seven weeks before the general meeting.
